I wonder if those books were fake even before Varga and gang showed up, but Emmit didn't know it? Emmit seems like a decent guy who got mixed up with these people in some way we really don't know about yet. Remember when Sy met with that lady in the Bear's Den who talked about buying into their company? That's Mary McDonnel from Dances with Wolves with Kevin Costner from a while ago. I wonder if she's dancing with wolves in this?
You raise a valid point. I wouldn't put it past Sy to create a second set of books, but if he did, how did Varga find out about them? I'm thinking they are Varga's books.
How does Varga find out about anything? He (or somebody) pays off contacts for the information, people they've compromised or just corrupted. But how did Emmit get mixed up with them from the start? And why was his business in need of a million dollar loan? It's parking lots ffs, the money just rolls in. How do you eff that up and need an under the radar loan? I don't think Emmit is completely responsible, or maybe he's just too trusting of his right-hand man.
Sy didn't seem to know anything about the second set of books that were set in front of the IRS guy tonight. He could be blameless . But, I think that means he'll be dying soon then. And what was up with Meeko (Miko?sp) , he's a world-class lawyer? But he chooses to earn a living as a strong-arm thug? I still think there is a possibility they're all held in check against their will by a bigger force at the top.

The how and why and who that lady is were explained in episode 1.
I would have written what was said but, I may not remember the exact details right now because I am in the process of re -watching Twin Peaks and I feel like my head might explode .
They had been looking for "investors" to bring some cash into the company. Sy said he had gone over the paperwork and it was airtight. Varga insisted that because he had paid one million into the company unsecured (without them having the collateral to back it up) he had actually bought in as an investor. I don't know if we'll find out more info on this later, or if Sy just isn't as good a lawyer as he needed to be with this sketchy loan.
I was wondering the same thing though. Why would a successful businessman get caught up in this?
